Terms and Conditions
CarBlock LLC (Wyoming Limited Liability Company)
Effective Date: March 9, 2026
These Terms and Conditions govern your access to and use of the CarBlock website, mobile application, and services (collectively, the "Platform").
By accessing or using the Platform, you agree to these Terms. If you do not agree, you may not use the Platform.
1. About CarBlock
CarBlock operates an online vehicle marketplace that connects vehicle sellers with buyers.
The Platform allows users to:
- List vehicles for sale or auction
- Place bids on vehicles
- Complete vehicle purchase transactions
- Communicate with buyers and sellers
- Arrange vehicle transportation
CarBlock is not a vehicle dealer, broker, reseller, or transportation carrier.
CarBlock does not own, inspect, store, or sell vehicles listed on the Platform.
All vehicle sales occur directly between the buyer and the seller.
CarBlock provides only the technology platform that facilitates these transactions.
2. Eligibility
To use the Platform you must:
- Be at least 18 years old
- Provide accurate account information
- Comply with applicable laws
Sellers must be licensed automobile dealers or authorized representatives of licensed dealerships unless otherwise approved by CarBlock.
CarBlock may verify dealer credentials prior to allowing listings.
CarBlock may suspend or terminate accounts that provide false information.
3. User Accounts
Users must create an account to participate in auctions or list vehicles.
You agree to:
- Maintain accurate account information
- Keep login credentials secure
- Accept responsibility for activity under your account
CarBlock may suspend or terminate accounts that violate these Terms.
4. Vehicle Listings
Sellers are solely responsible for the accuracy of vehicle listings.
Listings must accurately disclose:
- VIN
- Title status
- Mileage
- Accident history
- Mechanical condition
- Damage or defects
- Ownership history
CarBlock may remove listings that appear fraudulent or misleading.
5. Vehicle Condition Disclaimer
Vehicles listed on CarBlock are typically sold "as-is" unless otherwise specified by the seller.
CarBlock does not guarantee:
- Vehicle condition
- Mechanical performance
- Title validity
- Listing accuracy
CarBlock does not provide warranties or guarantees regarding vehicles listed on the platform.
Buyers are responsible for performing their own due diligence before purchasing a vehicle.
CarBlock recommends that buyers obtain independent inspections when appropriate.
6. Auctions and Bidding
CarBlock may host vehicle auctions.
By placing a bid, users agree that:
- Bids constitute binding purchase offers
- Winning bidders are obligated to complete the transaction
- Failure to complete payment may result in penalties
CarBlock may enforce bidding rules including:
- Minimum bid increments
- Proxy bidding
- Reserve prices
CarBlock reserves the right to cancel auctions in cases of fraud, misuse, or technical errors.
7. Buyer Default and Non-Payment
Winning bidders must complete payment within the time period specified after auction close.
Failure to complete payment may result in:
- Cancellation of the transaction
- Suspension or termination of the buyer's account
- Restriction from future bidding
- Applicable platform penalties or fees
CarBlock may take actions necessary to maintain marketplace integrity.
8. Payments and Escrow
Transactions may be processed through integrated third-party payment or escrow providers.
CarBlock does not hold buyer funds unless explicitly stated.
Buyers must complete payment promptly after winning an auction or agreeing to purchase a vehicle.
9. Transportation and Delivery
After a vehicle purchase is completed, buyers may arrange transportation using one of the following options.
Buyer-Arranged Transportation
Buyers may arrange transportation independently.
In such cases, all transportation agreements and liability are between the buyer, seller, and transportation provider.
CarBlock is not responsible for independently arranged transportation.
Transportation Through CarBlock
CarBlock may offer transportation services through its partner Montway Auto Transport.
Transportation services are provided by Montway or its network of licensed carriers.
Montway maintains insurance coverage including:
- Up to $5,000,000 logistics liability coverage
- $500,000 cargo coverage per shipment
CarBlock acts solely as a platform connecting users with transportation providers.
10. Transportation Liability
CarBlock does not transport vehicles.
CarBlock is not responsible for:
- Vehicle damage during transport
- Delivery delays
- Cargo loss
- Insurance claims relating to transport
All transportation claims must be directed to the transportation provider responsible for the shipment.
11. Title Transfer Responsibility
The seller is responsible for providing valid and transferable title documentation.
Sellers must ensure:
- The title is clear and transferable
- All liens are disclosed or satisfied
- Ownership documentation is accurate
Buyers are responsible for registering vehicles in their jurisdiction.
CarBlock is not responsible for title transfer disputes.
12. Fraudulent or Stolen Vehicles
Sellers must have the legal right to sell vehicles listed on the Platform.
Vehicles listed on CarBlock must not be:
- Stolen
- Subject to undisclosed liens
- Unlawfully obtained
If CarBlock becomes aware of fraudulent listings, the platform may:
- Remove the listing
- Suspend or terminate the seller's account
- Cooperate with law enforcement
CarBlock does not guarantee the legality of vehicle ownership or title documentation.
13. Seller Misrepresentation
Providing false or misleading vehicle information may result in:
- Listing removal
- Account suspension
- Permanent platform ban
- Dispute resolution proceedings
CarBlock reserves the right to investigate suspicious listings.
14. Platform Fees
CarBlock may charge fees including:
- Buyer transaction fees
- Seller listing or success fees
- Transportation coordination fees
All fees will be disclosed prior to completing a transaction.
CarBlock may modify fees with notice.
15. Prohibited Activities
Users may not:
- Manipulate auctions or bids
- Submit fraudulent listings
- Bypass CarBlock transaction systems
- Impersonate other users
- Engage in illegal activity
Violations may result in account suspension or termination.
16. Dispute Resolution
Users agree to first attempt to resolve disputes directly.
CarBlock may assist in dispute mediation by reviewing platform records and communications.
CarBlock is not a party to vehicle purchase agreements.
17. Arbitration Agreement
Any dispute arising out of or relating to the use of the Platform shall be resolved through binding arbitration rather than litigation in court.
Arbitration will take place in the State of Wyoming unless otherwise agreed by the parties.
The arbitrator's decision will be final and binding.
Each party will bear its own legal costs unless otherwise determined by the arbitrator.
18. Class Action Waiver
Users agree to resolve disputes individually and waive the right to participate in class actions or class arbitration against CarBlock.
19. Limitation of Liability
CarBlock shall not be liable for:
- Vehicle condition disputes
- Inaccurate listings
- Disputes between buyers and sellers
- Payment issues involving third-party providers
- Transportation damages or delays
The platform is provided "as-is" without warranties of any kind.
20. Account Suspension or Termination
CarBlock reserves the right to suspend or terminate accounts that:
- Violate these Terms
- Engage in fraud or abuse
- Misuse the Platform
21. Changes to Terms
CarBlock may update these Terms periodically.
Continued use of the Platform constitutes acceptance of the updated Terms.
22. Governing Law
These Terms shall be governed by the laws of the State of Wyoming.
23. Venue
If a dispute proceeds in court rather than arbitration, the parties agree that such dispute shall be resolved exclusively in the courts located in Wyoming.
